These Terms of Service govern your use of wearenonecompany.com and any purchase made through the website.

The website and None Company business are operated by None. Company, ABN 56 456 254 010 a sole trader trading as None Company. In these Terms, “None Company”, “we”, “us” and “our” refer to that business.

By accessing the website, creating an account or placing an order, you agree to these Terms and our Shipping Policy, Returns Policy and Privacy Policy. If you do not agree, you should not use the website.

1. Eligibility

You must be legally capable of entering into a binding agreement to place an order.

If you are under 18 years of age, you may only use the website and make a purchase with the involvement and permission of a parent or legal guardian.

You must provide accurate, complete and current information when placing an order.

2. Products and product information

We make reasonable efforts to ensure that product descriptions, measurements, photographs, colours and other information are accurate.

Colours and appearance may vary slightly depending on lighting, photography and screen settings. Product measurements are provided as a guide and minor manufacturing variations may occur. Nothing in this section permits a product to materially differ from its description or limits your rights under the Australian Consumer Law.

All products are subject to availability. We may limit purchase quantities where reasonably necessary to manage limited stock, prevent suspected fraud or discourage unauthorised bulk purchasing.

3. Prices and currency

Unless otherwise stated, all prices are displayed in Australian dollars.

Displayed prices include any Australian taxes that we are required to charge. Delivery charges and any other applicable costs will be shown before you complete payment.

International customers may be charged in Australian dollars or a converted local currency, depending on the payment and currency settings available at checkout. Currency conversion rates and fees may be determined by your bank, card issuer or payment provider.

We may change product prices at any time before an order is placed. Price changes will not affect orders that we have already accepted.

4. Orders

Submitting an order constitutes an offer to purchase the selected products under these Terms.

An automated order-confirmation email acknowledges that we have received your order. We may cancel an order before dispatch where:

• a product is unavailable;

• an obvious pricing or website error has occurred;

• payment cannot be authorised;

• the order appears fraudulent or unauthorised;

• the delivery address is incomplete or cannot be serviced; or

• the quantity ordered is inconsistent with reasonable personal use or available inventory.

If we cancel an order after payment has been taken, we will refund the affected amount to the original payment method.

Once an order has entered processing or has been dispatched, we may be unable to change or cancel it.

5. Payments

Payments are processed through Shopify and available third-party payment providers. Your use of those payment services may also be subject to the provider’s terms and privacy practices.

You confirm that you are authorised to use the payment method supplied with your order.

We are not responsible for additional charges imposed by your bank, card issuer or payment provider, including foreign transaction or currency-conversion fees.

6. Shipping and delivery

Orders are dispatched from the Gold Coast, Australia.

Our current processing times, shipping prices and estimated transit times are set out in our Shipping Policy and at checkout. Delivery estimates begin after dispatch and are not guaranteed delivery dates.

Delays may occur because of customs processing, carrier disruption, severe weather, public holidays or other circumstances outside our reasonable control. We will take reasonable steps to assist where an order is delayed, missing or damaged.

You are responsible for checking that your delivery information is accurate. Contact us promptly if you notice an error. Once an order has been dispatched, an address change may not be possible.

Additional postage may apply where an order is returned because of an incorrect address, non-collection or unpaid import charges. This does not apply where the return results from our error or a failure to comply with a consumer guarantee.

Risk in the products passes to you when the order is delivered to the nominated delivery address or collected by you from an authorised collection point.

7. International orders

International orders may be subject to import duties, taxes, customs charges or local processing fees.

Unless expressly stated at checkout, these charges are not included in the product or shipping price and are payable by the recipient. We cannot determine these charges in advance.

You are responsible for ensuring that the products can lawfully be imported into the destination country. International delivery remains subject to local customs requirements and carrier availability.

Nothing in these Terms excludes any mandatory consumer rights that apply in your country and cannot legally be excluded.

8. Returns, refunds and consumer guarantees

We do not offer refunds or exchanges for change of mind. This includes ordering an incorrect size, colour or style. This does not exclude your rights under the Australian Consumer Law.

Our products come with consumer guarantees that cannot be excluded under the Australian Consumer Law. Products must be of acceptable quality, fit for any disclosed purpose and match their description.

If a product is faulty, damaged, unsafe, materially different from its description or incorrectly supplied, you may be entitled to a repair, replacement, refund or other remedy depending on the circumstances and whether the failure is major or minor.

To request assistance, contact Hello@wearenonecompany.com with your order number, a description of the issue and, where reasonably possible, photographs showing the problem. Providing photographs may help us assess the issue but does not remove your statutory rights.

Where a return is required because a product does not comply with a consumer guarantee, we will provide or reimburse reasonable return-postage costs as required by law.

Sale and promotional products remain covered by the Australian Consumer Law.

9. Promotions and discount codes

Promotions, offers and discount codes are subject to any conditions displayed with the offer.

Unless otherwise stated:

• offers cannot be combined;

• discount codes have no cash value;

• a discount must be applied before checkout is completed;

• promotions apply only during the stated period and while stock lasts; and

• promotions cannot be applied retrospectively to completed orders.

We may withdraw or correct a promotion before an order is placed where there is an error, misuse or other reasonable basis. This will not affect an order already accepted unless we contact you and provide an appropriate resolution.

10. Acceptable use

You must not use the website:

• for an unlawful, fraudulent or misleading purpose;

• to infringe another person’s intellectual-property or privacy rights;

• to introduce malware, malicious code or other harmful material;

• to interfere with the website’s security or operation;

• to collect information about other users without authorisation;

• to make unauthorised automated requests or attempt to access restricted systems; or

• in any way that could damage None Company, the website or another person.

We may restrict access to the website where reasonably necessary to protect the website, our customers or our legal rights.

11. Intellectual property

The website and its contents—including the None Company name, logos, product designs, photographs, graphics, written content and website layout—are owned by or licensed to None Company and are protected by applicable intellectual-property laws.

You may access the website for personal, non-commercial shopping purposes.

You must not reproduce, modify, distribute, publish, commercially exploit or create derivative works from our content without prior written permission, except where permitted by law.

Purchasing a product does not transfer ownership of any intellectual-property rights associated with that product or the None Company brand.

12. Reviews and submitted content

If you voluntarily submit a product review, photograph, comment or other content to us, you confirm that:

• you created it or have permission to submit it;

• it is accurate to the best of your knowledge;

• it does not infringe another person’s rights; and

• it is not unlawful, abusive, defamatory or misleading.

You grant us a non-exclusive, worldwide and royalty-free licence to display, reproduce and share that content for operating and promoting None Company. We will seek permission before using identifiable customer photographs in paid advertising.

You may request that we stop using your submitted content by contacting us, although removal may not always be possible where content has already been incorporated into printed materials or completed campaigns.

13. Third-party services and links

The website may use or link to third-party services, including Shopify, payment providers, shipping carriers and social-media platforms.

Third-party websites and services are controlled by their respective operators. We are not responsible for their independent content, availability or privacy practices.

A link does not necessarily constitute our endorsement of the third party.

14. Privacy

Our handling of personal information is explained in our Privacy Policy.

You should review the Privacy Policy before submitting personal information through the website. We take reasonable steps to protect information in our possession, but no online transmission or storage system can be guaranteed to be completely secure.

15. Website availability and accuracy

We aim to keep the website available and accurate but do not guarantee uninterrupted or error-free access.

We may temporarily restrict access for maintenance, security or technical reasons. Where practical, we will correct material website errors within a reasonable time.

16. Liability

Nothing in these Terms excludes, restricts or modifies:

• your rights under the Australian Consumer Law;

• any consumer guarantee;

• liability for fraud, wilful misconduct or personal injury caused by negligence; or

• any other right or liability that cannot lawfully be excluded.

To the extent permitted by law, we are not responsible for losses that were not reasonably foreseeable when the relevant contract was formed or that result from your misuse of the website or products.

Where the Australian Consumer Law permits liability for a failure to comply with a consumer guarantee to be limited, our liability is limited to the remedies permitted by that law.

17. Events outside our reasonable control

We are not responsible for a delay caused by an event outside our reasonable control, provided that we take reasonable steps to minimise the effect of the delay.

If such an event prevents us from fulfilling an accepted order, we will contact you and offer an appropriate solution, which may include cancellation and a refund for products we cannot supply.

18. Changes to these Terms

We may update these Terms to reflect changes to our business, website or legal obligations.

The updated Terms will apply from the date they are published and will not retrospectively alter an order already accepted. The date at the beginning of the Terms identifies the latest revision.

19. Severability and waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

A failure or delay by us in enforcing a provision does not waive our right to enforce it later.

20. Governing law

These Terms are governed by the laws of Queensland, Australia.

You and None Company submit to the courts of Queensland and any courts entitled to hear appeals from them, subject to any mandatory consumer protections that apply in your location.
